Welcome to MiVoca! These Terms of Service ("Terms") govern your access to and use of MiVoca, including our website and web application available at www.mivoca.app ("Service").

By creating an account or using MiVoca, you agree to these Terms. If you do not agree, please do not use the Service.

Eligibility

You must be at least 13 years old to use MiVoca. By using the Service, you represent that you meet the minimum age requirement applicable in your jurisdiction and have the legal capacity to enter into these Terms.

Your Account

You agree to provide accurate and complete information when creating your account and to keep it current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you believe your account has been accessed without authorization, you should notify us promptly at support@mivoca.app.

Subscription Plans and Payments

Certain features of MiVoca require a paid subscription.

• Subscription prices and billing terms are displayed before purchase.
• Payments are processed securely by third-party payment providers such as Stripe.
• Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period until cancelled.
• You may cancel your subscription at any time. Cancellation prevents future renewals, and your subscription will remain active until the end of the current billing period. Except where required by law, payments are non-refundable.
• Applicable taxes may be added at checkout.

User Content

You retain ownership of the vocabulary, notes, documents, and other content you submit to MiVoca ("User Content").

You grant MiVoca a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, display, and otherwise use your User Content solely as necessary to operate, maintain, improve, and support the Service.

You represent that you own or have the necessary rights to submit any User Content you provide and that doing so does not violate the rights of any third party.

AI Features

Some MiVoca features use artificial intelligence to generate learning materials, examples, quizzes, or other educational content.

AI-generated content is provided for informational and educational purposes only. While we strive to provide accurate and helpful results, AI-generated content may occasionally contain errors, omissions, or inaccurate information. You are responsible for reviewing generated content before relying on it.

Acceptable Use

You agree not to:

• Use MiVoca for any unlawful, fraudulent, or abusive purpose.
• Upload or submit content that infringes the intellectual property or other rights of others.
• Attempt to gain unauthorized access to any account, system, or network.
• Interfere with or disrupt the operation or security of the Service.
• Introduce viruses, malware, or other harmful code.
• Reverse engineer, decompile, copy, scrape, or attempt to reproduce the Service except where permitted by applicable law.
• Use automated tools to access the Service in a manner that places an unreasonable burden on our systems.
• Use MiVoca or its content to develop, train, or improve competing products or services without our prior written permission.

Intellectual Property

MiVoca, including its software, code, design, branding, graphics, documentation, text, and other materials, is owned by MiVoca or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, or create derivative works from any part of the Service without our prior written permission.

Service Availability

We continually improve MiVoca and reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Although we strive to provide a reliable service, we do not guarantee uninterrupted, secure, or error-free operation.

Termination

You may stop using MiVoca and close your account at any time.

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent or abusive activity, fail to pay applicable subscription fees, or use the Service in a manner that could harm MiVoca or other users.

Termination does not affect any rights or obligations that arose before termination.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVOCA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVOCA, ITS OWNERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVOCA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MIVOCA DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Privacy

Your use of MiVoca is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

Changes to the Service or These Terms

We may update the Service or these Terms from time to time. Material changes will become effective when posted on our website. Your continued use of MiVoca after changes become effective constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict-of-law principles.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction and venue of those courts.
